
What Do You Need to Register a Company in Malaysia? Understand These 5 Mandatory Requirements Before You Begin
Setting up a company in Malaysia is not as simple as filling out a form and receiving your certificate. Don’t assume that engaging an agent, paying the fee, and waiting a few days will guarantee a smooth issuance of your business license-only to find your application rejected mid-process, your shareholders’ eligibility questioned, your registered address deemed invalid, or even your subsequent corporate bank account opening stalled at the most basic stage. These issues commonly stem from a lack of systematic understanding of non-negotiable legal requirements. These are not optional “recommendations”-they are mandatory, legally binding conditions with no room for exception.

I. At Least One Local Resident Director
1. At least one natural person aged 18 or older must serve as a director; this individual must be either a Malaysian citizen or hold a long-term residence visa (e.g., MM2H, Employment Pass EP, or Permanent Residency PR);
2. Foreign nationals without such status cannot act as sole directors; they must either co-found with a local partner or appoint a qualified resident representative;
3. The director must provide verifiable proof of residential address (e.g., utility bill or a clear copy of their MyKad); this address will be entered into the publicly accessible database maintained by the Companies Commission of Malaysia (SSM).
II. The Registered Office Address Must Be Genuine and Valid
1. The address must be physically located within Malaysia; post office boxes (PO Boxes) or virtual office addresses are not acceptable as the statutory registered office;
2. This address must be capable of receiving official correspondence from SSM and the Inland Revenue Board (IRB); supporting documents-such as title deeds or a valid tenancy agreement-must be submitted;
3. If leasing commercial premises, the tenancy agreement must explicitly permit use for company registration and commercial operations.
III. Shareholder Structure Must Meet Minimum Number and Nationality Requirements
1. A private limited company (Sdn. Bhd.) requires a minimum of one shareholder and a maximum of 50; shareholders may be individuals or corporate entities;
2. Full foreign ownership (100% equity) is permitted; however, for regulated sectors-including education, logistics, and real estate agency-additional industry-specific licenses are required, and foreign equity caps may apply;
3. All shareholders must submit valid identification: Malaysian citizens must provide their MyKad; foreign nationals must submit clear scanned copies of their passports and relevant visa pages.
IV. Constitution (Memorandum and Articles of Association) Must Be Custom-Drafted in Compliance
1. Standard templates are insufficient; the constitution must be specially drafted to reflect the actual shareholding structure, directors’ powers and responsibilities, profit distribution mechanisms, and other core provisions;
2. The company’s objects clause must clearly and specifically define its permitted business activities-vague statements such as “to carry out all lawful businesses” are unacceptable;
3. The proposed company name must first be pre-approved by SSM; it must include “Sendirian Berhad” or its abbreviation “Sdn. Bhd.”, and must not duplicate or cause confusion with any existing registered name.
V. Paid-Up Capital and Bank Verification Are Mandatory
1. There is no statutory minimum requirement for authorized capital; however, the currency (typically Malaysian Ringgit, RM) and the subscribed amount must be clearly stated;
2. If authorized capital exceeds RM1 million, partial payment must be made within 30 days of incorporation, and a licensed bank must issue a formal capital verification certificate;
3. The initial capital contribution must be transferred from the shareholder’s personal bank account into the company’s temporary bank account, and the purpose of the funds must directly align with the company’s stated incorporation objectives.
