Eligibility Requirements

The entry threshold is low, yet certain mandatory requirements must be met
1. At least one shareholder (an individual or a legal entity; no nationality restrictions apply);
2. At least one director (must be aged 18 or older; the same person may serve as both shareholder and director);
3. Appointment of a statutory secretary (must be either a licensed Hong Kong secretarial company or a Hong Kong resident; cannot be the same person as the shareholder or director);
4. A genuine and valid registered office address in Hong Kong (a residential address is not permitted; virtual email addresses are unacceptable; the address must be capable of receiving official correspondence from government departments);
5. The company name must include either “Limited” or “” (in Chinese), and must not duplicate any existing registered company name (free name-checking is available).

Market prices range widely-from HK$980 to HK$5,800-depending largely on what’s included (or excluded) in “hidden services”
✅ Basic incorporation fee (government filing + statutory secretarial services) approx. HK$2,200-HK$2,800 (includes the Companies Registry fee of HK$1,720, the statutory secretary’s first-year fee, and the registered office address’s first-year fee);
✅ Assistance with opening a corporate bank account (not mandatory but practically essential) additional HK$1,500-HK$3,000 (covers bank appointment scheduling, pre-application review, and in-person accompaniment; note that while some banks have eliminated face-to-face interviews, their application reviews have become increasingly stringent);

⚠️ Important Note Any advertised “all-inclusive” price below HK$2,000 almost certainly excludes either the statutory secretary service or the registered office address beyond the first year-meaning you’ll likely incur additional monthly fees of HK$300-HK$500 starting Year 2. Likewise, agencies advertising “zero service fees” typically recoup costs later through markups on banking assistance, accounting services, or tax filing.
Additional Reminder
After incorporation, you must file your Annual Return (once per year; cost approx. HK$800-HK$1,200) and submit your Profits Tax Return (even if the company has zero income). Failure to file-or late filing-incurs penalties starting at HK$1,200; severe non-compliance may result in compulsory deregistration of the company.
