Many Mainland Chinese business owners or cross-border professionals suddenly find themselves in a quandary when conducting historical cooperation reviews, due diligence, debt recovery, or tax audits the counterparty’s official website is inaccessible; its registered address no longer exists or cannot be located; and its bank account has been closed-yet no explicit “Dissolved” status appears in any official platform system. This ambiguity naturally raises doubts Is the company still legally active? Is it merely dormant-or has it been quietly deregistered? Such uncertain status is precisely where practitioners most commonly stumble.

First, a recent regulatory update Starting April 2025, the Hong Kong Companies Registry (CR) introduced minor amendments to the “Removal of Company Name” procedure under Section 745 of the Companies Ordinance, with an emphasis on enhancing the traceability and transparency of public notices. Specifically, all notices relating to companies proposed for removal must now be published simultaneously in both the electronic version of the Government Gazette and the scrolling banner on the homepage of the Integrated Companies Registry Information System (ICRIS). Furthermore, the retention period for such notices has been extended from the previous three months to six months. As a result, while the “deregistration countdown” for a company undergoing removal proceedings has become more transparent, stakeholders must proactively monitor key deadlines-missing the notice period significantly increases both the time and cost required to restore registration later.

So how does one confirm whether a Hong Kong company is currently deregistered? The most reliable and authoritative method remains official search via designated platforms. There are only two legally valid channels

1. The Companies Registry’s official “Online Search Centre” (https//www.icris.cr.gov.hk);

2. Engaging a licensed Hong Kong solicitor or registered secretary to obtain the company’s “Information Sheet” (Form NNC1 or NR1).

Note that numerous third-party websites claiming to offer “free Hong Kong company status checks” are widely available-but their data is typically delayed by 7-15 working days, and they cannot reflect pending “removal proceedings.” They only display final outcomes, rendering them of limited practical value.

To verify deregistration status, three critical procedural milestones must be examined

1. Whether the company has completed voluntary liquidation and obtained a court order formally terminating the process;

2. Whether the Companies Registry has initiated administrative removal due to failure to file the Annual Return (Form NAR1) and/or non-payment of Business Registration fees;

3. Whether the company has been ordered into compulsory liquidation by the court and the liquidator has filed Form 5 (“Notice of Completion of Winding Up”) with the Companies Registry.

Of these, administrative removal (Category 2 above) accounts for over 70% of recent deregistrations. Typically, such cases involve companies failing to file annual returns for two consecutive years. The Companies Registry first sends a notice to the registered address; if no response is received, it publishes the first Gazette notice. After three months, a second notice is published; if no objections are raised within another three months, the company’s name is formally removed from the register. The entire process takes approximately nine months-but system status updates often lag behind actual procedural developments.

Required Documentation for Verification

1. The company’s registration number (CI Number);

2. The company’s full English and Chinese names (must match exactly those appearing on its Certificate of Incorporation);

3. If authorizing a third party to conduct the search, a notarized letter of authorization and certified copies of the authorized person’s identity documents are required;

4. For legal purposes (e.g., submission to Mainland courts or tax authorities), it is advisable to additionally apply for the “Certificate of Current Status,” bearing the official seal of the Companies Registry. This document is directly admissible by Mainland Chinese courts and tax authorities.

A further important reminder Beginning in the second half of 2025, data integration between the Inland Revenue Department (IRD) and the Companies Registry will be significantly strengthened. Once a company’s name is removed from the register, its Business Registration Certificate (BR) automatically becomes invalid and cannot be renewed. Moreover, should the company have outstanding tax liabilities prior to removal, the IRD retains authority to pursue collection for up to five years thereafter-and may even issue tax assessments directly to individual directors. Thus, “the company no longer exists” does not equate to “all liabilities extinguished.”
