Registration Requirements for Private Limited Companies in Singapore, Guidelines for Filing with the Accounting and Corporate Regulatory Authority ACRA, and Sample Registration Documents of an Actual Company
Registering a company in Singapore is, in fact, not overly complicated-but the details truly matter. Many entrepreneurs and SME owners encountering this process for the first time are easily misled by intermediary sales language, mistakenly believing that simply paying the fee guarantees immediate issuance of the certificate. In reality, subsequent hurdles-such as difficulties opening a corporate bank account or errors in tax filing-often result in wasted time and additional costs. In practice, regulatory compliance is paramount. Especially from 2025 onward, the Accounting and Corporate Regulatory Authority of Singapore (ACRA) has tightened its verification of Beneficial Owner (BO) information. All newly incorporated companies must complete BO registration within 30 days of incorporation, and all submitted BO information must precisely match the identity documents of directors and shareholders.
Requirements for Registering a Singapore Private Limited Company

1. At least one company secretary ordinarily resident in Singapore; this secretary may not be the sole director.
2. At least one director must be a Singapore citizen, a Singapore Permanent Resident (PR), or a foreign national holding a valid Employment Pass (EP) or EntrePass.
3. The company must maintain a physical registered office address in Singapore (a P.O. Box is not acceptable); this address will serve as the official channel for receiving official correspondence and legal documents.
4. There is no minimum required share capital; however, capital must be denominated in Singapore Dollars (SGD). It may be fully paid-up or partly subscribed, with share par value as low as SGD 0.01.
5. All directors, shareholders, the company secretary, and beneficial owners must submit certified copies of their passports, proof of residential address (issued within the last three months), and personal resumes detailing educational background and professional experience.
6. The proposed company name must first be pre-approved by ACRA. It must not duplicate any existing company name and must not contain restricted or sensitive terms (e.g., “Bank”, “Insurance”, or “Royal”)-use of such terms requires separate licensing approval.
ACRA Registration Process Guide
ACRA is the sole statutory authority responsible for company registration in Singapore. The entire process is conducted online via the BizFile+ portal-no physical walk-in service is available. The procedure is straightforward
→ Log in to the BizFile+ system using either a Singpass or CorpPass account;
→ Submit a company name reservation application (results typically issued within 15 minutes);
→ Complete the company incorporation form and upload all required identity documents;
→ Pay the registration fee of SGD 300 (inclusive of government charges) online;
→ Upon successful payment, the system issues an electronic Business Profile (i.e., Certificate of Incorporation) instantly.
The entire process can be completed in as little as one hour-provided all documents meet requirements on the first submission. Important note Applicants using foreign passports must have their identities certified in advance by a Singapore-licensed lawyer or registered filing agent (Certification of Identity); otherwise, the application will be rejected automatically. Additionally, effective from October 2025, all newly incorporated companies must concurrently submit the Beneficial Owner Declaration Form (Form BO) to complete final registration-failure to do so will prevent registration from being finalized.
Real-World Example of a Successful Company Registration
Consider a technology services company incorporated in June 2025
Company Name “NexusEdge Solutions Pte. Ltd.”
Authorized Share Capital SGD 10,000, divided into 10,000 shares of SGD 1.00 each
Directors One Chinese national holding a valid Employment Pass (employed at a local tech firm), and one Singapore citizen who also serves as the company secretary
Shareholders Two natural persons, each holding 50% of issued shares
Registered Address A commercial building at Robertson Quay, within a co-working space (with full street address and a duly filed lease agreement on record)
Business Description Clearly stated as “providing cloud infrastructure consulting and SaaS tool integration services”-avoiding vague or high-scrutiny phrases such as “technology development” or “investment management”
Business Profile shows Registration Number 202512345E; Incorporation Date 2025-06-18; Status “Live”; includes ACRA’s official digital seal and a verifiable QR code
The above outlines the core principles and practical details essential to incorporating a private limited company in Singapore. We hope this information proves helpful. Before initiating registration, we recommend first testing your preferred company name using ACRA’s official Name Reservation tool on its website. Then engage a locally licensed corporate service provider accredited by the Monetary Authority of Singapore (MAS) to assist with document certification and BO declaration-this helps avoid repeated resubmissions due to formatting errors or missed deadlines. After successful registration, remember to promptly proceed with the following interdependent steps
→ Apply for a Goods and Services Tax (GST) registration number (mandatory if annual turnover exceeds SGD 1 million);
→ Open a local corporate bank account (most banks require directors to attend in person for signing);
→ File the first Annual Return on schedule.
Each of these steps is critical-and none can be overlooked.

December 12, 2024The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!

The merchant said that they have been operating offline for more than 10 years and are indeed an old team of corporate services.
