1. At least one company secretary ordinarily resident in Singapore; this secretary may not be the sole director.

2. At least one director must be a Singapore citizen, a Singapore Permanent Resident (PR), or a foreign national holding a valid Employment Pass (EP) or EntrePass.

3. The company must maintain a physical registered office address in Singapore (a P.O. Box is not acceptable); this address will serve as the official channel for receiving official correspondence and legal documents.

4. There is no minimum required share capital; however, capital must be denominated in Singapore Dollars (SGD). It may be fully paid-up or partly subscribed, with share par value as low as SGD 0.01.

5. All directors, shareholders, the company secretary, and beneficial owners must submit certified copies of their passports, proof of residential address (issued within the last three months), and personal resumes detailing educational background and professional experience.

6. The proposed company name must first be pre-approved by ACRA. It must not duplicate any existing company name and must not contain restricted or sensitive terms (e.g., “Bank”, “Insurance”, or “Royal”)-use of such terms requires separate licensing approval.

ACRA Registration Process Guide

ACRA is the sole statutory authority responsible for company registration in Singapore. The entire process is conducted online via the BizFile+ portal-no physical walk-in service is available. The procedure is straightforward

→ Log in to the BizFile+ system using either a Singpass or CorpPass account;

→ Submit a company name reservation application (results typically issued within 15 minutes);

→ Complete the company incorporation form and upload all required identity documents;

→ Pay the registration fee of SGD 300 (inclusive of government charges) online;

→ Upon successful payment, the system issues an electronic Business Profile (i.e., Certificate of Incorporation) instantly.

The entire process can be completed in as little as one hour-provided all documents meet requirements on the first submission. Important note Applicants using foreign passports must have their identities certified in advance by a Singapore-licensed lawyer or registered filing agent (Certification of Identity); otherwise, the application will be rejected automatically. Additionally, effective from October 2025, all newly incorporated companies must concurrently submit the Beneficial Owner Declaration Form (Form BO) to complete final registration-failure to do so will prevent registration from being finalized.
