What Are the Requirements for Registering a Company in Thailand?

Thailand imposes explicit market access requirements on foreign investors, centered on three core areas legal entity eligibility, registered capital, and localization obligations
1. At least one Thai national (natural person) or Thai-registered legal entity must serve as a shareholder. If the company is 100% foreign-owned, an Alien Business License (FBL) must be obtained. Importantly, this license only permits foreign majority ownership in industries explicitly listed in Annex 3 of the Alien Business Act.
2. The minimum registered capital is THB 1 million. At least 25% of this amount must be fully paid up at the time of registration, and a certified Thai public accountant must issue a formal capital verification report.
3. At least one authorized representative (director or managing director) must be permanently resident in Thailand. This individual must hold a valid long-term Thai residency status-such as the Thailand Elite Visa, TR Visa, or Permanent Residence Permit-and cannot fulfill this role solely on a tourist visa or visa-on-arrival.
4. The registered office address must be a genuine commercial property. Applicants must submit both a valid lease agreement and a letter of consent from the property owner authorizing use of the address for company registration purposes. Residential addresses, virtual offices, and co-working spaces are not accepted by the Department of Business Development (DBD), unless the co-working space has been officially certified by the Board of Investment (BOI).
5. Foreign shareholders must provide notarized and doubly authenticated (i.e., legalized by both the issuing country’s Ministry of Foreign Affairs and the Royal Thai Embassy/Consulate) copies of their passports; a Certificate of No Criminal Record issued within the past six months; and proof of residential address (e.g., utility bill or bank statement). In certain cases, additional documentation-including a Certificate of Good Standing (or Certificate of Incorporation) of the parent company in the home jurisdiction-may also be required, along with Apostille certification under the Hague Convention.

Important Notes
As of 2025, the Department of Business Development (DBD) has fully implemented its e-Registration system. All documents must be uploaded as PDF scans via the designated online platform; paper submissions are no longer accepted.
The Revenue Department (RD) has now integrated VAT registration with the issuance of the company’s Tax Identification Number (TAX ID). Companies failing to complete electronic tax registration will be unable to open corporate bank accounts.
Cities including Bangkok, Chiang Mai, and Phuket have introduced streamlined registration channels for technology-based startups-but these apply exclusively to businesses operating in BOI-designated “Digital Innovation” sectors. General trading or service-oriented businesses do not qualify.
