Establishing a U.S. Company No Longer Requires a Trip to the United States

Today, setting up a U.S. company truly no longer necessitates flying across the Pacific. Many entrepreneurs engaged in cross-border business, bidding for overseas projects, or proactively securing intellectual property rights are now able to incorporate a U.S. company and register their brand simultaneously-all from home, with just a few mouse clicks. This is not marketing hype; rather, it reflects the combined impact of fully digitized registration processes and increasingly professionalized service providers.

U.S. Professional Company Registration Online U.S. Company Trademark Registration-All in One Step

By 2026, U.S. states continue to optimize their online incorporation systems. In Delaware, Wyoming, and Nevada-the three most popular states for incorporation-the average time to establish a company has been reduced to just 3-5 business days. Meanwhile, the United States Patent and Trademark Office (USPTO) launched an upgraded TEAS Plus application interface in April 2026, featuring Chinese-language support for form completion. The average examination timeline remains stable at 6-8 months, while the office action (rejection) rate has declined by 7.3% year-on-year (Source USPTO Q1 2026 Public Report).

U.S. Company Formation It’s Not About “Choosing a State”-It’s About Strategic Fit

Don’t assume that incorporating a U.S. company simply means picking the “cheapest and fastest” state. The real priority is aligning your business model with long-term compliance requirements and cost efficiency. Consider the following

1. For B2B technology services or fundraising needs, Delaware remains the top choice. Its Court of Chancery boasts decades of well-established case law on shareholder disputes, and venture capital firms widely recognize and prefer Delaware-incorporated entities.

2. If your operational team is based in China and you maintain no physical presence in the U.S., Wyoming offers greater practicality it levies no state corporate income tax, requires no notarized annual report, and licensed registered agent services typically cost less than $150 per year.

3. For sole proprietors prioritizing privacy, Nevada stands out it does not require public disclosure of shareholders’ or directors’ names, nor does it impose a state-level franchise tax.

Important Notes

Regardless of the state chosen, the Federal Employer Identification Number (EIN) must be applied for separately through the Internal Revenue Service (IRS); it cannot be issued by any state agency.

If your company generates actual revenue in the U.S. or employs U.S.-based staff, you remain obligated to file state-level sales tax or payroll tax returns per applicable state law.

Online U.S. Company Registration Paperless Processes Are Now Standard

The mainstream incorporation pathway has fully transitioned away from mail or fax submissions

1. File the Certificate of Incorporation (for corporations) or Articles of Organization (for LLCs) directly via the Secretary of State’s official website. State filing fees-ranging from $50 to $300-are payable by credit card.

2. Simultaneously appoint a licensed Registered Agent. This role is legally mandated the agent must maintain a physical street address within the state of incorporation and be authorized to accept legal documents on behalf of the company.

3. Upon approval, instantly download your Filed Certificate (proof of formation) as a PDF. Some states-including Colorado-even provide a blockchain-verified timestamp and immutable record link.

4. Apply for your EIN online using IRS Form SS-4. Once submitted, the system generates your EIN immediately-no waiting for email confirmation or postal mail.

U.S. Brand Registration Incorporation ≠ Trademark Protection

Company formation only establishes your entity’s legal existence-it does not confer trademark rights. To protect your brand (i.e., name, logo, slogan, or even sound), you must file a separate trademark application with the USPTO

1. Conduct a thorough similarity search in advance-using either the USPTO’s free TESS database or third-party tools such as TrademarkNow-to avoid conflicts with existing registered trademarks (text, design, or sound marks).

2. Clearly indicate your filing basis “Use in Commerce” (if already actively selling goods/services in the U.S.) or “Intent-to-Use” (ITU), which permits submission of proof of use within six months after allowance.

3. Submit your application via the TEAS Plus system. You must specify the appropriate class(es) of goods/services (out of 45 total classes), upload a clear representation of the mark, and electronically sign the required declaration.

4. During examination, the USPTO may issue an Office Action-commonly for descriptive terms or geographic names. You must respond substantively within six months; failure to do so results in automatic abandonment.

Critical Reminder

The USPTO does not assess whether your mark infringes upon another party’s rights-it only evaluates whether your application satisfies statutory registration requirements. If your brand has already been preemptively registered on platforms like Amazon or Shopify, or if a prior conflicting right exists abroad, consider initiating an opposition proceeding or negotiating an assignment agreement.

Additionally, once your U.S. trademark is registered, you must file

A Declaration of Use under Section 8 between the 5th and 6th anniversaries of registration; and

A combined Declaration of Use and Application for Renewal under Sections 8 9 between the 9th and 10th anniversaries.

Failure to timely submit either will result in automatic cancellation of the registration.

The above outlines the core operational considerations for concurrently establishing a U.S. company and registering a U.S. trademark in today’s streamlined environment. We hope this guide proves helpful to you.

The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!

When I first consulted customer service, they recommended an agent to me. They were very professional and patient and provided excellent service. They answered my questions as they came in. This 2-to-1 service model is very thoughtful. I had a lot of questions that I didn’t understand, and it’s not easy to register a company in Hong Kong. Fortunately, I have you.

I originally thought that they only did mainland business, but I didn’t expect that they had been doing Hong Kong business and were doing very well. After the on-site interview, I decided to ask them to arrange the registration of my Hong Kong company. They helped me complete it very quickly and provided all the necessary information. The efficiency was awesome. It turns out that professional things should be done by professionals.👍

In order to register a company in Hong Kong, I compared many platforms and stores and finally chose this store. The merchant said that they have been operating offline for more than 10 years and are indeed an old team of corporate services. The efficiency is first-class, and the customer service is also very professional.
