Recently, there's been a lot of online discussion about the claim that Singaporean companies don't have business licenses. Many people involved in cross-border trade, registering overseas companies, or simply curious about Singapore’s business environment are left confused by this statement How could a globally renowned financial hub operate without business licenses? Is this even credible? Today, let’s clarify this once and for all-and also discuss the potential risks and how to handle them properly.

Here’s the bottom line It’s true that Singaporean companies do not have a physical, red-stamped business license like the one issued in China. But that doesn’t mean they’re unregulated or illegitimate. On the contrary, Singapore has an extremely transparent and efficient corporate registration system-the format just differs from what we’re used to.

No Business License for Singapore Companies? Risks and How to Respond Explained in One Article

In China, the first step to starting a company is visiting the local Administration for Market Regulation to obtain a business license. This document lists the company name, legal representative, scope of operations, registered address, and more, sealed with an official red stamp-making it look formal and authoritative. In Singapore, however, company registration is completed entirely online through the Accounting and Corporate Regulatory Authority (ACRA). Upon successful registration, you receive two key documents a Certificate of Incorporation and a Business Profile. These serve the same purpose as what we commonly refer to as a business license.

The main difference is that these documents are digital. They can be viewed, downloaded, and printed at any time directly from ACRA’s official website-with no compromise in authenticity. Moreover, all company information in Singapore is publicly accessible. Anyone can quickly check whether a company is registered, who its shareholders and directors are, and whether it has completed annual filings. This “sunlight” approach to regulation actually makes fraud much harder than with paper-based licenses.

So why does the misconception persist? Mainly due to the stark contrast between the systems. Many Chinese entrepreneurs are accustomed to the idea that no license means no legitimacy. When they realize Singapore doesn’t issue physical licenses, they assume it’s less formal or risky. Compounding this are some (intermediary agencies) exaggerating claims like Singapore companies require no oversight or you can set one up freely, misleading many unsuspecting clients.

In reality, no physical license doesn’t mean no regulation. On the contrary, Singapore enforces strict compliance requirements. For example, every company must file an Annual Return each year, maintain proper accounting records, and undergo audits unless exempted as a small company. Companies must also ensure their registered address, director, and shareholder information remain accurate and up to date. Violations can result in penalties ranging from fines to company deregistration-or even damage to personal credit records.

Now, let’s talk about potential risks. Many people register Singapore companies for reasons such as lower taxes, improved international image, and ease of receiving foreign currency payments. But without understanding local regulations, they easily fall into traps.

The first type of risk is compliance risk. Some business owners assume that once the company is registered, they’re done. But forgetting to complete annual filings or tax submissions can land the company on ACRA’s defaulters list. Once labeled as inactive or non-compliant, future financing, bank account opening, or contract signing may be blocked. In severe cases, banks might freeze accounts entirely, leaving funds inaccessible.

The second is operational risk. Many small and medium-sized enterprises register Singapore companies for cross-border e-commerce or to receive USD payments but overlook actual operational requirements. For instance, if your company has employees in Singapore, rents office space, or conducts local transactions, you must comply with local laws-paying taxes, purchasing insurance, and adhering to labor regulations. Don’t assume a shell company can bypass these rules. The Inland Revenue Authority of Singapore (IRAS) conducts thorough checks, especially on accounts with unusual fund flows-and they rarely miss anything.

The third is reputational risk. While setting up a company in Singapore is relatively easy, misuse can severely damage your reputation. For example, using multiple shell companies to transfer assets or issue fake invoices isn’t just illegal-it can ruin both personal and corporate credibility internationally. With global anti-money laundering regulations tightening, banks now conduct far stricter background checks. Don’t sacrifice long-term growth for short-term convenience.

So how should you respond? It’s actually quite simple-just remember four words Professionalism and Compliance.

First, partner with a reputable local corporate secretarial firm or accounting firm. Singapore law requires every local company to appoint a resident company secretary responsible for registration, annual reporting, and changes in company details. Don’t cut corners by hiring unqualified agents-when problems arise, there’ll be no one to take responsibility. A professional firm not only handles procedures correctly but also sends timely reminders so nothing slips through the cracks.

Second, keep proper books and pay your taxes. Even if your company is inactive, you must file a zero tax return. If you do have business activities, maintain complete records-contracts, invoices, transaction histories. Singapore practices territorial taxation, meaning only profits generated within Singapore are taxed. You can legally optimize your tax burden, but never evade it.

Third, use public transparency as a strategic advantage. Since anyone can access your company data, make sure it reflects positively. Update information promptly and maintain a clean record. For example, when negotiating an export deal, if the client sees your company has been active for three years, files reports on time, and has no violations, their willingness to cooperate increases significantly.

Finally, don’t treat a Singapore company as a safe haven. Singapore is a rule-of-law society-its regulations are clear and strictly enforced. As long as you operate legally, it offers an efficient, transparent, and convenient platform. But try to exploit loopholes, and you’ll eventually face consequences.

At its core, the presence or absence of a business license is merely a matter of form. What truly matters is whether your business operates legally and in compliance. Singapore’s system may seem lenient on the surface, but it’s actually strictly managed-supported by advanced technology and a robust credit framework.

For individuals and businesses alike, understanding and respecting the rules is key to leveraging this powerful tool-rather than being harmed by it. As more and more Chinese companies go global, Singapore remains a top destination. But moving steadily is far more important than moving fast. Don’t let a non-existent piece of paper become the first hurdle in your international journey.

The experience was very good. I was still struggling to compare it with other companies. I went to the site a few days ago and wanted to implement it as soon as possible. I didn't expect that everything exceeded my expectations. The company is very large, with several hundred square meters. The employees are also dedicated and responsible. There is also a wall of certificates. I placed an order on the spot. It turned out that I did not make a wrong choice. The company's service attitude is very good and professional. The person who contacted me explained various things in detail in advance. After placing the order, the follow-up was also very timely, and they took the initiative to report the progress to me. In short, I am very satisfied and recommend this company!

In order to register a company in Hong Kong, I compared many platforms and stores and finally chose this store. The merchant said that they have been operating offline for more than 10 years and are indeed an old team of corporate services. The efficiency is first-class, and the customer service is also very professional.
