What Are the Differences Between Freight Forwarder's Bill of Lading and Ocean Bill of Lading?
In international trade, freight forwarder's bill of lading HBL and ocean bill of lading B/L are two frequently mentioned terms. Both are important documents that prove the transportation of goods, but there are significant differences between them. These differences not only affect their legal validity but also influence the division of responsibilities and risk allocation throughout the logistics chain.
Firstly, from a definition perspective, the ocean bill of lading B/L, issued by the shipping company or its agent, is an official document. It serves as both a certificate of ownership of the goods and a transport contract between the carrier and the shipper. Once the cargo is loaded onto the ship, the shipping company delivers the bill of lading to the shipper, indicating that the ownership of the goods has been officially transferred to the holder of the bill of lading. The ocean bill of lading holds a higher legal status and is considered a negotiable instrument in international shipping.
In contrast, the freight forwarder's bill of lading HBL is a document issued by freight forwarders such as freight forwarding companies. It is mainly used to handle business relationships between customers and freight forwarders. The freight forwarder's bill of lading is essentially based on the master bill of lading MBL signed with the shipping company. In simple terms, the freight forwarder's bill of lading is merely a service proof provided by the freight forwarder to its clients to confirm that it has accepted the commission and arranged for the transportation of the goods. It does not directly represent the responsibility of the shipping company.
From a legal validity perspective, since the freight forwarder's bill of lading is not issued by the shipping company, its legal status is lower than that of the ocean bill of lading. If disputes arise, such as damage or loss of goods, the holder of the freight forwarder's bill of lading may need to trace back to the master bill of lading to find the actual responsible party, i.e., the shipping company. In contrast, the ocean bill of lading can serve directly as evidence to hold the shipping company accountable.
In practical operations, the two are used in different scenarios. For example, in bulk trade, the ocean bill of lading is usually used; while in medium and small-scale import and export businesses, freight forwarder's bill of lading is more preferred. This is because for small and medium-sized exporters, using freight forwarder's bill of lading can simplify procedures, reduce costs, and also obtain professional logistics services support.
It should be noted that in recent years, with the rapid development of the cross-border e-commerce industry, the application scope of freight forwarder's bill of lading has also expanded. Many small and medium-sized enterprises on e-commerce platforms choose to complete cross-border logistics through freight forwarders, leading to an increasing demand for freight forwarder's bills of lading annually. However, this also brings new challenges, such as how to ensure the authenticity and validity of freight forwarder's bills of lading and how to prevent potential fraudulent behaviors.
